Flex Planner Terms and Conditions of Use

By using services from Flex Planner, all users agree to the following terms and conditions:

Definitions

Flex Planner undertakes to provide a flexi time recording and calculation service to the person named in the registration, which will permit the processing of data submitted by the user.

• The users agrees that use of the service is at the user's sole risk.
• The service is provided on an �as is� and �as available� basis.
• Flex Planner does not guarantee that the service will meet the user's requirements, nor that the service will be uninterrupted, timely, secure, or error free.
• Subject to the following sentence, Flex Planner shall not be liable to the user for any monetary loss, costs, expenses or other loss, which arise out of or in connection with the provision of the service or their use by the user. Nothing in these Terms excludes or limits either party's liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability which cannot lawfully be excluded or limited; or (d) breach of the obligations set out in any Data Protection Addendum or Data Processing Agreement between the parties, provided that Flex Planner's total liability under this limb (d) shall not exceed, in any period of 12 months, the total charges paid or payable by the user under these Terms in the 12 months preceding the event giving rise to the claim.
• Flex Planner accepts no responsibility for any delay or failure of the service due to the actions of a third party, or if the delay or failure was due to any cause beyond Flex Planner's reasonable control.
• The user's sole and exclusive remedy, if dissatisfied with the service or with any terms and conditions or practices of Flex Planner, is to discontinue using the service. Flex Planner will comply with the provisions and obligations imposed by the General Data Protection Regulations 2018.
• Flex Planner may change the per user charge. Flex Planner will notify the user of any such intended changes to charges a month in advance by posting them on the Flex Planner web site and via email
• Flex Planner may at any time, without notifying the user, make any changes to the service which are necessary to comply with any applicable statutory requirements, or which do not materially affect the nature or quality of the service.
• The user's right to use the service is exclusive to each individual user, and is not transferable
• The user will not disclose any personal account passwords to any third party
• The user will not permit, assist, or allow others to discover, recreate, or attempt to discover or recreate the service, or any associated computer code; or sub-license or charge others to use or access the service
• By ticking the box "I have read and accept the terms and conditions", you are agreeing that you will be bound by the above Terms and Conditions of Use
• These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the law of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
